A record, not a list
of adjectives.

Every law firm says it is experienced. Fewer will tell you what they actually built. These are representative matters, described in general terms.

Capital

Financings and
lending facilities

Figures are in US dollars and describe the size of the transaction, not a fee.

USD$30,000,000

Equity and debt financing package

Structured and negotiated a combined equity and debt package using a multi-tranche framework, with each release of capital conditioned on a defined legislative milestone. The effect was that funding and regulatory progress advanced together instead of each waiting on the other, and that investors were never exposed to a stage of the project that had not yet cleared its approval.

USD$10,000,000+

Secured facilities and equity transaction

A combined mandate for a single client group: a working-capital credit facility and a first-ranking secured bridge facility structured to carry through into the permanent financing that followed, together with an equity transaction built around a branded-product royalty and a schedule of deferred annual consideration, so the selling party retained an ongoing economic interest rather than a single closing payment.

Equity

Acquisitions and
share transactions

Counterparty names are withheld unless the matter is already a matter of public record.

AdvisoryDeal-flow negotiation

Private equity, management and institutional stakeholders

Led complex negotiations across private-equity groups, local management teams and institutional stakeholders — including a national retirement fund and regional banking executives — bringing parties with materially different mandates to a single set of terms.

International
2009–2023

Regulation

Legislative and
regulatory work

Where the framework does not exist yet, someone has to help write it before anyone can operate inside it.

NationalCannabis Ordinance

Regulatory and legislative framework

Pioneered and managed the regulatory and legislative process behind a national cannabis ordinance, aligning the government's strategic objectives with a defined set of exclusive commercial rights — and then building the corporate structure able to hold and operate them.

Sint Maarten
2023–present

GovernanceCorporate restructuring

Articles, UBO disclosure and source of funds

Led restructuring including amendments to statutory articles of incorporation, carried through rigorous local notary compliance, with full ultimate-beneficial-owner disclosure and source-of-funds verification for every party in the structure.

Sint Maarten
2023–present

SectorGaming advisory

Land-based and online gaming operators

Legal and operational advisory to gaming properties internationally over roughly fourteen years, maintaining compliance across strict and frequently divergent regulatory boundaries while commercial deals continued to move.

International
2009–2023

Sovereign & technology

Counsel to leadership,
and to founders

Two very different client types with one thing in common: what they are building has to survive the people who come after them.

AdvisoryTribal & First Nations counsel

Joint ventures and minority-interest protection

Strategic counsel to First Nations and tribal leadership on joint ventures, minority-interest protections and corporate law safeguards — structuring commercial partnerships that respect the fact that the client is a government as well as a business.

Canada & United States
2009–2023

TechnologySoftware & e-commerce build

Formation, IP acquisition and global licensing

Managed the complete legal and financial setup of an international software and e-commerce enterprise, including acquisition, registration and global licensing of core intellectual property and custom business tools, alongside budgets, cash-flow protocols and multi-jurisdictional transaction models.

Matters are described in general terms and omit confidential detail. Nothing on this page is a prediction or guarantee about the outcome of any future engagement — every transaction turns on its own facts, its own counterparties and its own jurisdiction.
